HaulOrHold Terms of Service, version 2026-10-21.2

These Terms are an agreement between you and Shipleti ("we", "us"), [postal address, Savannah, GA], haulorhold@gmail.com, for the HaulOrHold app and website (the "Service").

1. Who can use it. You must be 18 or older, in the United States, and using the Service for your trucking business. You confirm this when you sign up. Keep your login secure; you are responsible for activity on your account.

2. What the Service is, and is not. HaulOrHold is an individual decision-support calculator. It estimates YOUR break-even and YOUR target rate from YOUR costs, YOUR margin and public data (U.S. EIA diesel, ATRI headline cost figures, published port tariffs). Any target is calculated only from your own inputs; we do not tell carriers in general what to charge, and pooled data is never used to calculate your target or counter-offer. HaulOrHold is NOT a broker, freight forwarder, carrier, dispatcher or load board. It does not post, find, match, book, tender or arrange loads; it does not contact brokers, shippers or receivers for you; it does not negotiate for you; and we receive no payment, commission or fee tied to any load. Any counter-offer text is a draft that you alone decide whether to send, yourself.

3. Estimates only. Every number is an estimate and may be wrong or out of date, including third-party data. You alone decide which loads to accept and what to charge. Nothing in the Service is financial, legal, tax or insurance advice, and the broker check is not a credit check or a guarantee of payment.

4. Your data and data sharing. You own the data you enter. You give us a license to store and process it to provide the Service to you. Data sharing is optional: paid plans never require it. The Free plan (after the trial) is offered in exchange for sharing the de-identified data described in the Privacy Policy, and you can stop at any time. If you share, you give us a royalty-free license, for as long as we keep it, to use the de-identified data to produce historical, aggregated statistics shown in the app and to improve the Service. We will not sell or license your shared data, or models built from it, to anyone else, and we will not use it for any other business (including any freight marketplace), unless we first ask for and receive your new, express consent. We commit not to re-identify shared data.

5. No coordination. You agree not to use the Service, or anything you learn from it, to agree or coordinate with other carriers on prices, rates, terms or which loads to accept; to signal or post current asking prices for others to follow; or to organize refusals or boycotts of any broker, shipper or load. Shared statistics are historical (at least 45 days old), aggregated, and for your own independent decisions. We may remove content and suspend accounts that break this rule.

6. Uploads and documents. Only upload or type information you have the right to share. Some rate confirmations and broker-carrier agreements have confidentiality clauses; check yours first. Rate-confirmation reading, when available, runs on your phone, keeps only the numbers you approve, and deletes the image. You are responsible for what you upload and will cover our reasonable costs if a claim arises because you uploaded something you had no right to.

7. Broker check and ratings. Broker information comes from FMCSA public records as of the time shown, may be incomplete or out of date, and should be verified on SAFER/L&I. Notes such as "authority granted less than 6 months ago" are factual flags, not accusations. Ratings you enter are private to your account, must be truthful and based on loads you hauled, and are not shown to other users. Brokers can report an error to haulorhold@gmail.com.

8. Plans, trial and billing. Plans and prices are shown in the app. New accounts get a 14-day Pro Plus trial that needs no card and does not turn into a paid plan; when it ends you move to Free unless you choose a paid plan. Paid plans are bought through Google Play, renew automatically at the price shown until you cancel, and can be cancelled anytime in Google Play → Subscriptions (the app links there). Cancelling stops future renewals; you keep access until the end of the paid period. Except where the law or Google Play's policy requires otherwise, payments are not refundable. We will tell you before a price change; Google Play asks for your agreement where required. We send a reminder before yearly plans renew and once a year for monthly plans. Extra trucks on Pro Plus, when available, are a separate recurring charge you agree to separately.

9. Acceptable use. Do not scrape, copy in bulk, reverse engineer, overload, or try to get around limits or security; do not access other users' data; do not upload anything unlawful or anyone else's confidential information without permission.

10. Third-party data and services. Diesel data is from the U.S. EIA; cost defaults cite ATRI; port figures come from published tariffs; broker records from FMCSA. None of them endorse HaulOrHold. Google Play, Supabase and RevenueCat provide parts of the Service under their own terms.

11. Our property. The Service, its software, design and aggregated statistics belong to us. You may use them only through the Service for your own business.

12. Ending. You can stop using the Service and delete your account at any time in the app or at https://haulorhold.com/delete. We may suspend or end accounts that break these Terms. Sections 4 (de-identified data license), 5, 6, 13-16 survive.

13. DISCLAIMER. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT.

14. LIMIT OF LIABILITY. TO THE FULLEST EXTENT ALLOWED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR LOADS, AND OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100. Some states do not allow these limits, so they may not apply to you.

15. Disputes. Georgia law governs, without regard to conflict-of-law rules. Except for small-claims cases, disputes will be decided in the state or federal courts located in Chatham County, Georgia, and both parties consent to that venue. Nothing here limits rights you have under consumer-protection laws that cannot be waived.

16. Changes and general. We will give notice in the app or by email before material changes take effect; continuing to use the Service after that means you accept them. If a part of these Terms is unenforceable, the rest stays in effect. These Terms and the Privacy Policy are the whole agreement about the Service.
